Terms of sale and license agreement
The terms for buying and using EBIS-Pro.

These terms are an agreement between you and Endorse On Inc. ("Endorse On", "we"). By buying, installing or using EBIS-Pro, you accept them. If you're accepting on behalf of a business, you confirm you're authorized to do so.
Installing and using the software is also governed by our End-User License Agreement (EULA), which the installer asks you to accept. The license summary below matches it; if the two ever differ about how you may use the software, the EULA applies.
1. The license
- When you pay, we grant you a non-exclusive, non-transferable, perpetual license to install and use EBIS-Pro on one computer at a time, for your own business.
- The license covers the major version you bought (for example 3.x), including every update to that version. Later major versions are separate paid upgrades and are optional.
- Several people may sign in on the licensed computer using EBIS-Pro's own user accounts.
- You may move the license to a different computer. You can do this yourself up to 3 times in any 12 months; further moves are at our discretion.
2. What you may not do
- Share your license key, or use one license on more than one computer at a time.
- Resell, rent or sublicense EBIS-Pro, or offer it as a hosted service to others.
- Reverse engineer, decompile or modify the software, except where the law expressly allows it.
- Remove or change any copyright, trademark or licensing notices.
3. Activation
EBIS-Pro must be activated online and checks its license from time to time. If a license is deactivated (for example after a refund, a chargeback or misuse), the software stops working at its next check.
4. Price, payment and tax
- Prices are shown on our website and at checkout. We may change prices at any time; a change never affects a purchase already made.
- Payment is taken by Stripe or PayPal when you order. Your license key is issued once payment is confirmed.
- Customers in Canada are charged GST/HST, and PST or QST where applicable, based on the province given at checkout. Customers outside Canada are responsible for any taxes or duties that apply where they are.
5. Refunds
You may request a full refund within 30 days of purchase under our refund policy. The guarantee applies to a customer's first purchase only and can be used once. When a refund is issued, the license is deactivated.
6. Your data and your email
- Your business data stays on your computer and belongs to you. You're responsible for backing it up; EBIS-Pro includes backup tools to help.
- You're responsible for the email you send with EBIS-Pro, including complying with Canada's Anti-Spam Legislation (CASL) and similar laws, and with your email provider's terms and limits.
- How we handle personal information is described in our privacy policy.
7. Support and updates
We provide support by email for current versions. We may release updates to fix problems or improve the software; we're not obliged to add any particular feature.
8. Warranty
We'll make reasonable efforts to ensure EBIS-Pro works as described on our website. Apart from that and the refund guarantee, and to the extent the law allows, EBIS-Pro is provided "as is", without other warranties of any kind, including fitness for a particular purpose or uninterrupted, error-free operation.
9. Limitation of liability
To the extent the law allows, Endorse On isn't liable for indirect or consequential losses, lost profits, lost data or business interruption, and our total liability for any claim relating to EBIS-Pro is limited to the amount you paid for the license. Nothing in these terms limits liability that can't be limited by law, or your rights under consumer protection law.
10. Ending the license
You can stop using EBIS-Pro at any time. We may end your license if you seriously breach these terms. When the license ends, you must stop using the software. Your own data remains yours.
11. Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have jurisdiction, unless the law where you live gives you the right to go to your local courts.
12. Changes to these terms
We may update these terms for future purchases. The version in effect when you bought your license applies to that purchase.
